These Terms of Service govern your use of the Growthspine website and the services we provide. By engaging Growthspine or using our website, you agree to these terms.
Services
Growthspine provides WhatsApp AI agent build and implementation services for real estate agencies. The specific scope, deliverables, timeline, and investment for each engagement are defined in a written agreement, agreed upon by both parties before work begins.
Payment
Payment terms are specified in each engagement agreement. Typically, a deposit is required before work commences, with the balance due on or before project handover. All prices are quoted in Nigerian Naira unless otherwise agreed in writing.
Intellectual property
All systems, automations, workflows, documents, and assets created during an engagement are the sole property of the client upon full payment. Growthspine retains no ongoing rights, licences, or claims to client-commissioned work.
Confidentiality
Both parties agree to keep confidential all non-public information shared during an engagement. Growthspine will not disclose client business information, strategies, or data to third parties without explicit written consent.
Client responsibilities
Clients are responsible for providing accurate information, timely feedback during the build, access to required tools and platforms, and any third-party costs (platform subscriptions, API fees, hosting) not explicitly included in the engagement agreement.
Limitation of liability
Growthspine's liability for any claim arising from services provided is limited to the total fees paid for the relevant engagement. Growthspine is not liable for indirect, consequential, or incidental damages including lost profits or business interruption.
Post-launch support
All engagements include a 30-day post-launch support period. Ongoing support beyond this period is available under a separate retainer agreement. Growthspine is not responsible for issues arising from client-made changes to delivered systems after handover.
Termination
Either party may terminate an engagement with 14 days written notice. In the event of termination, the client is responsible for fees corresponding to work completed to date. Any deliverables completed and paid for become the client's property.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved first through good-faith negotiation, then through the appropriate courts of the Federal Capital Territory, Abuja.
Website use
Use of the Growthspine website is at your own risk. We provide the website 'as is' without warranties of any kind. We reserve the right to modify or discontinue any aspect of the website at any time without notice.
Changes to these terms
We may update these Terms of Service from time to time. Updates will be reflected on this page with a revised date. Continued use of our services after changes constitutes acceptance of the revised terms.
